STANDARD TERMS AND CONDITIONS OF SALE

These Standard Terms and Conditions of Sale (the "Terms") govern all sales and services provided by Reaktive Media ("the Company") to its clients. By engaging the Company, the client agrees to these Terms, which supersede any conflicting provisions in the client’s own terms and conditions, unless otherwise expressly agreed to in writing by the Company.

  1.  Payment Terms
    1. Invoices and Payment Deadlines
      1. All invoices are payable within twenty-one (21) working days from the invoice date unless a different payment period is specified on the invoice or order confirmation.
      2. In the event of non-payment by the due date, the Company reserves the right to charge interest at a fixed rate of ten percent (10%) on the outstanding balance. Additionally, the Company may suspend the provision of services without prior notice.
    2. Late Payment Consequences
      1. Payments outstanding more than sixty (60) days after the due date may be referred to a debt recovery agency. All costs and legal expenses incurred during the recovery process will be borne by the client.
    3. Withholding Tax
      1. If applicable law in the client’s country imposes withholding tax on invoice amounts, the client is responsible for paying such taxes to the local tax authorities. Under no circumstances will the Company bear these costs. The full invoice amount remains payable to the Company.
  3. Obligations of the Company
    1. The Company will make every reasonable effort to deliver services and goods as per the agreed timelines and performance standards. However, the Company does not guarantee specific results and cannot be held liable for failure to achieve particular outcomes.
    2. The Company shall not be held responsible for any claims for damages filed against the client by third parties, including end consumers.
  5. Claims and Disputes
    1. Any claims regarding the quality or conformity of goods or services must be submitted to the Company’s registered office in writing via recorded delivery within eight (8) days of receipt of the goods or completion of the services.
    2. Failure to notify the Company within this period constitutes acceptance of the goods or services.
  7. Governing Law
    1. All contracts and transactions are governed exclusively by the laws of the Republic of Panama.
  9. Miscellaneous
    1. Any amendments or deviations from these Terms must be expressly agreed to in advance in writing by the Company.
    2. The client acknowledges and agrees that these Terms override any conflicting terms presented by the client.
  11. By engaging Reaktive Media, the client acknowledges they have read, understood, and agreed to these Terms in their entirety.
